Our dispute resolution work are of international and domestic nature including litigation and arbitration work (primarily corporate / commercial matters, contracts, intellectual property, building, construction, restructuring, business advisory work, negotiations, structuring of SPVs).  Our firm has dealt with foreign law firms in litigation and alternative dispute resolution, particularly in Switzerland, Germany, Malaysia, Thailand, Yemen, the United Kingdom, Sri Lanka, Hong Kong. 

1. Wide-ranging experience in corporate matters

Dealt with local and foreign counsel in investment advisory work including setting-up trust and company structures with local and offshore BVI companies, international due diligence & related work for foreign corporate acquisitions of entities in different jurisdictions, corporate advisory work, construction contracts, shipbuilding contracts and related security / finance documentation. Financed agreements including foreign investment / joint venture agreements.

2. Dealt with corporate matters for an Indian defence company

Drafted / set up corporate structures and agreements for an Indian entity relating to sale / distribution of defence hardware.

3. Experience in shipping, shipbuilding and maritime matters 

Drafted documentation relating to trust and corporate arrangements with Japanese shipping companies and Singapore entities operating VLCCs, shipbuilding and charter party/security documentation.

4. Dealt with property sales and agreements involving Ascott Group in Myanmar

Negotiated and drafted contracts relating to multimillion dollar transfer/sale/ trust over land and construction and related contracts pertaining to a service apartment building in Yangon, Myanmar. Settled agreements with the building’s managing agent, Ascott Group of Singapore, in 2018.

5. Helped Singaporean companies work with their overseas joint venture partners

Negotiating, drafting/vetting contracts and documents for a Singapore shipping company relating to a joint venture with a partner in Norway. Advised and dealt with the sale/transfer of 10 specialised multimillion dollar AHTS tug boats from 2017 to 2018 to the Norwegian partner.

In 2021/2022, advising drafting agreements for a Singapore client relating to joint venture partnership / funding of infrastructure projects in India.

6. Assisted German company in acquiring a Singaporean firm

Due diligence, acquisition by a German company of a Singapore company in 2022, drafted corporate agreements for a Singapore subsidiary of a German company for use in the Asia Pacific region in 2023.

7. Advised on multimillion dollar shipping joint venture shareholder dispute

Advised on recent shareholder funding issues in 2023 pertaining to shareholder proportions in a multimillion dollar shipping joint venture that was restructured in 2021.
